1. Your relationship with us
You are an independent seller, not our employee, agent or partner. You keep full copyright in everything you upload. You appoint us as your non-exclusive agent to market, sell, deliver, invoice and collect payment for your items, and to grant end users the licences described in our Licence Policy on your behalf.
2. What you promise about your items
- You wrote it, or you have the right to sell it. Every third-party component is properly licensed and disclosed.
- It works as described, and the demo reflects what a buyer actually receives.
- It contains no malware, backdoor, hidden telemetry, undisclosed phone-home, crypto miner, or code that damages or takes control of a buyer's system.
- It is not encrypted, obfuscated or ionCube-locked unless the listing says so prominently and the buyer can see what they are getting.
- It does not infringe anyone's copyright, trademark or other rights.
- It complies with applicable law, including data protection law where it handles personal data.
Uploaded archives are scanned. Anything flagged is held back from buyers until a human has reviewed it, and confirmed malware is grounds for immediate removal and account closure.
3. Review and publication
Where approval is enabled, items are reviewed before going live and you cannot publish directly. We may reject an item or ask for changes, and we always record a specific reason, which you can see in your dashboard. Rejection is not permanent — address what was raised and resubmit.
4. Pricing
You set your prices, subject to any minimum or maximum we publish. We may run marketplace-wide promotions; where a promotion reduces your revenue, participation is [opt-in / opt-out] and the funding split is shown before it starts.
5. Commission and earnings
- Our commission is the rate applying to the item at the moment of sale. It may be set globally, per category, per author or per item — the most specific rate wins.
- The rate is frozen onto each sale. Changing a rate later never alters what you have already earned.
- Each sale records the gross, the commission, your earnings and the rate that produced them, so any payout can be traced back to the order that created it.
- Earnings are held as a pending balance until the refund window on that sale closes, then become available automatically.
6. Withdrawals
You may withdraw your available balance once your KYC is verified and you have a verified payout method on file. The minimum withdrawal, any processing fee and the expected timeline are shown on the withdrawal screen. We may hold a payout while a dispute, chargeback or copyright claim on your account is open.
7. Tax
You are responsible for your own tax. We issue a payout advice for every withdrawal and deduct TDS or withhold tax where the law requires it. If you are GST-registered, give us your GSTIN — the treatment of your earnings depends on it.
8. Support you must provide
You provide support for your own items for the period you state on them, through the ticket system. Respond within [RESPONSE TIME] working days. Persistent non-response is grounds for suspension: an unsupported item damages every author here, not only you.
9. Refunds and your earnings
When a refund is approved, the earnings on that sale are reversed against your balance. You are consulted first on any refund raised against your item, and an unusually high refund rate is a signal we will act on.
10. Exclusivity
Listing here is non-exclusive: you may sell the same item elsewhere unless you have agreed otherwise in writing.
11. Removing an item
You may withdraw an item from sale at any time from your dashboard. Doing so does not affect anyone who has already bought it — they keep their licence, their downloads and their remaining support and update entitlement, and you must honour them. That obligation is the reason withdrawal is not deletion.
If we suspend your account and remove your catalogue from sale, the same applies: your existing buyers keep what they paid for. Only a takedown — malware, infringement, code that was not yours — stops delivery, and that is a finding against the item rather than an administrative step.
12. Suspension
We may remove an item or suspend an account for breach of this agreement, infringement, malware, repeated buyer complaints, or manipulation of sales, reviews or rankings. Where money is held, we settle what is properly owed to you after any outstanding refunds, chargebacks and claims.
13. Indemnity
You indemnify us against claims arising from your items — in particular claims that an item infringes someone's rights or has caused a buyer loss.
14. Changes
We may amend this agreement with notice. The commission rate that applies to a sale is always the one in force when that sale happened.
